Welcome to Tend. These Terms of Service ("Terms") govern your access to and use of the Tend mobile application ("App") and all related services (collectively, the "Service") provided by Tend ("we," "us," or "our"). Please read these Terms carefully before using the Service.
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that you have your parent or legal guardian's permission to use the Service.

All subscriptions are billed through Apple's App Store and are subject to Apple's payment terms and conditions. By purchasing a subscription, you agree to the following:
Certain features of the Service, including nudges, AI Coach drafts, Conflict First Aid reframes, and Weekly Reports, use artificial intelligence to generate content. By using these features, you acknowledge and agree that:
The Service allows you to establish connections with other users. By using the connection features, you acknowledge and agree that:
You retain full ownership of any content you create, upload, or submit through the Service ("User Content"), including notes, messages, photos, and responses.
By using the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to store, process, and transmit your User Content solely as necessary to provide, maintain, and improve the Service.
You also grant us the right to send your User Content to third-party AI service providers as necessary to deliver AI-powered features of the Service, such as nudge generation, coach drafts, and conflict reframing.
We reserve the right to remove or disable access to any User Content that we reasonably believe violates these Terms or applicable law, without prior notice.
You agree not to use the Service to:

You may delete your account at any time by navigating to Settings > Delete Account within the App. Please be aware that:
The Service and all of its contents, features, and functionality (excluding User Content), including but not limited to text, graphics, logos, icons, images, audio, video, software, and the underlying code, are the exclusive property of Tend and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
These Terms do not grant you any right, title, or interest in the Service or its content. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Service or any part thereof without our prior written consent.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.
YOU USE THE SERVICE AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEND, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless Tend, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
Informal Resolution: Before initiating any formal dispute proceeding, you agree to first contact us at legal@tend.guru and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved this way.
Binding Arbitration: If the dispute is not resolved within the 30-day informal resolution period, you and Tend agree that any remaining dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted on an individual basis in San Francisco, California.
Class Action Waiver: YOU AND TEND AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdiction of such court.
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics or pandemics, government actions, power failures, internet or telecommunications failures, or third-party service outages.
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or if your conduct may harm other users, us, or third parties. Upon termination, your right to use the Service will immediately cease.
You may stop using the Service at any time. You may also delete your account as described in Section 9 above.
Sections 5, 7, 10, 11, 12, 13, 14, 15, 17, 18, and 19 shall survive any termination of these Terms.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tend regarding your use of the Service. These Terms supersede all prior and contemporaneous agreements, proposals, and representations, whether written or oral, regarding the Service. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. To the extent that any legal action is permitted under these Terms outside of arbitration, you and Tend agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco, California.
We may revise and update these Terms from time to time at our sole discretion. We will notify you of any material changes by posting the updated Terms within the App, sending you an in-app notification, or emailing you at the address associated with your account. The "Effective date" at the top of this page will be updated accordingly.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
